Public Offer Agreement

The terms on which Tutorio provides access to the service, and what exactly you accept when you subscribe.

1. Definitions

The following terms are used in this Agreement:

  • “the Provider” — the person named in section 11 (details), who provides access to the Service.
  • “the User” — the individual who has accepted the terms of this Agreement.
  • “the Service” — the Tutorio web application at tutorio.net: software for a tutor to keep records of students, lessons, packages and payments.
  • “Subscription” — the right to use a paid plan for the billing period paid for.
  • “Billing period” — a month or a year, depending on the plan chosen.

2. Subject of the agreement

The Provider gives the User access to the Service as software (SaaS) on a subscription basis. The Service is provided “as is”, in the form and to the extent available at the moment of payment.

The Service is not an educational service, is not an accounting or tax service, and does not replace either. The Provider takes no part in the relationship between a tutor and their students or those students’ parents.

What is paid for is access to software — not a learning outcome, a number of students, or a tutor’s income.

3. Acceptance of the offer

This Agreement is a public offer. Acceptance (full and unconditional agreement to its terms) is taking out a subscription and paying for the chosen plan.

From the moment of acceptance the Agreement is concluded and has the force of a written contract. Use of the free plan is governed by the Terms of Use and does not require acceptance of this offer.

4. Plans and payment

Current plans, prices and limits are published on the Service’s home page and in the “Subscription” section of the User’s workspace. Prices are given in the currency the User is billed in: Ukrainian hryvnia (₴), or US dollars or euros where available.

  • Payment is taken through the WayForPay payment service. Card details are entered on the payment service’s side; the Provider does not receive the full card number, its expiry date or the CVV. The Provider keeps only the card token (see section 5) and its masked number.
  • The amount payable is determined by the Provider on the server, on the basis of the plan chosen and any discounts and promo codes the User holds. The client application does not send the payment amount.
  • Access to a paid plan opens once the payment service confirms the payment.
  • Discounts do not stack: the most favourable available one applies. A free period takes priority over a percentage discount.
The Provider may change prices. For existing subscribers a new price applies from the next billing period, with advance notice. A price change is never applied to a period already paid for.

5. Automatic renewal

A subscription renews automatically: at the end of each billing period the Provider charges the cost of the next period to the linked card. This is a condition the User agrees to at the first payment or when linking a card without paying. If the paid plan was activated by a bonus or a promo code and no card is linked, there are no automatic charges: when the period ends, the account returns to the free plan, and the Provider warns the User by email in advance.

To make those charges possible, the WayForPay payment service stores a card token — an anonymised identifier that allows a charge without re-entering the card details. The card number, expiry date and CVV are not passed to the Provider and are not stored by it; the Provider keeps only the token (encrypted) and the masked card number for display in the account. The User gives consent to storing the token and to subsequent automatic charges on the subscription checkout or card-linking screen, where the amount, the charging frequency and the way to opt out are stated above the button. To check a card without a payment, the bank may temporarily hold a small amount (up to ₴5), which it releases automatically.

  • Auto-renewal can be turned off at any time under “Subscription” — without giving a reason and without contacting support.
  • After auto-renewal is turned off, access to the paid plan continues until the end of the period already paid for.
  • If a charge fails, the Provider retries for several days while keeping access open. After that the account returns to the free plan.
Returning to the free plan does not delete any data. Beyond the free plan’s limit no new students or groups can be added; if there are already more than the limit, creating new lessons, packages and invoices is paused until the extra ones are archived or the paid plan is renewed. The finance journal is available on the paid plan only — its entries are kept.

6. The Points programme

The Provider may credit the User with points for the actions listed in the “Points” section of the workspace. Points are a notional unit of a loyalty programme. They are not money, electronic money or a means of payment, have no monetary value, and cannot be paid out, refunded or exchanged for funds.

What earns points

  • Paying for the Service — in proportion to the amount actually paid.
  • A new User who signed up through an invitation setting up their account — credited to both sides.
  • That invited User’s first payment for the Service, and their remaining a subscriber for three paid months — credited to the User who invited them. Payment for a yearly plan satisfies this condition immediately.
  • Completing tasks published in the “Points” section, and bug reports, reviews and suggestions the Provider considers useful.

An account counts as set up if, within 14 days of registering, the invited User confirmed their email address, added at least two students, created at least three lessons (excluding cancelled ones) and used the Service on at least three different days. Points are credited within a day of all conditions being met.

How points are spent

  • Points can be spent by a User who has made at least one payment for the Service that was not refunded. Before the first payment, points accumulate but cannot be exchanged.
  • Points are exchanged for items published in the “Points” section. The list of items, their cost in points and their availability are set by the Provider and may change.
  • An exchange is final: points spent are not returned. The exception is where the Provider could not deliver the chosen item; the points are then returned to the User’s balance.
  • A discount or free period obtained with points applies to the next scheduled payment and does not stack with other discounts and promo codes: one applies — whichever is most favourable to the User.
  • Points are not transferable between accounts, are not inheritable and cannot be assigned. The “gift a colleague a month of subscription” item is not a transfer of points: the Provider grants a subscription period to another User, and the giver’s points are deducted.

Points are valid for 12 months from the date they are credited. Unspent points expire after that. The Provider gives notice of an approaching expiry in the “Points” section.

When points are lost

  • If a payment is refunded, the User loses the right to spend points until the next payment. Points credited for that payment, and points credited to the User who invited them, may be deducted by the Provider.
  • If this Agreement is terminated or the account is deleted, points are cancelled without compensation.
  • The Provider may refuse to credit points, cancel credited points and close access to the programme where the User acts in bad faith: registering accounts to earn a reward from themselves, giving other people’s or invented details, earning points for payments later refunded, or otherwise artificially inflating their points.

A User who invited another User sees, in their own workspace, the invited person’s name and which setup steps they have completed. No other information about the invited User, including their activity in the Service, is disclosed.

The Provider may change the programme’s terms or discontinue it, by posting notice in the Service at least 30 days before the change takes effect. Points credited before the programme ends may be spent by the User within those 30 days.

7. Rights and obligations of the parties

The Provider undertakes:

  • To keep the Service accessible throughout the period paid for.
  • Not to pass on or sell the User’s data to third parties (see the Privacy Policy).
  • To give advance notice of material changes to terms and prices.

The User undertakes:

  • To provide accurate details when registering and paying.
  • Not to use the Service for unlawful activity and not to attempt to circumvent the technical limits of their plan.
  • To comply with the law regarding their own students themselves — in particular regarding the processing of their personal data.

8. Refunds

9. Liability and limitations

The Provider makes every effort to keep the Service running without interruption, but does not guarantee operation free of breaks and errors. Planned maintenance is possible, as are interruptions for reasons beyond the Provider’s control (failures at providers, hosting or payment systems, and the consequences of martial law).

The Provider is not liable for the User’s lost profit, for decisions taken on the basis of the Service’s data, or for the acts of third parties.

The Provider’s total liability is limited to the amount actually paid by the User for the most recent billing period.

10. Term and termination

The Agreement runs from acceptance until the end of the period paid for, and, where auto-renewal is on, until auto-renewal is turned off or the account is deleted.

The User may terminate the Agreement at any time by turning off auto-renewal or deleting their account. The Provider may suspend access where the Terms of Use are breached — refunding the unused part of the payment, unless the breach was wilful.
